TERMS AND CONDITIONS OF USE FOR THE APPLICATIONS NAMED YAZTAMX AND YAZTAPRO
SOFTWARE LICENSE AND SERVICES AGREEMENT BETWEEN VAST TECH VENTURES INC. (HEREINAFTER REFERRED TO AS "VAST") AND THOSE WHO ACCEPT THE TERMS AND CONDITIONS ESTABLISHED HEREIN, HEREINAFTER REFERRED TO AS "APPLICATION USERS," REGARDING THE APPLICATIONS NAMED "YaztaMX and YaztaPro," PURSUANT TO THE FOLLOWING STATEMENTS AND CLAUSES.
PLEASE READ THESE CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
1. Legal Relationship.
These terms and conditions (hereinafter "T&C") will govern the use that you, as a User of the YaztaMX and YaztaPro Applications, make as an individual and/or legal entity, from anywhere in the world concerning the application named YaztaMX and YaztaPro, as well as regarding any service, product, website, and content made available to you through VAST, which is a company incorporated in accordance with the regulations of the State of Delaware, Gust Delaware, United States of America, Inc. 16192 Coastal Highway, and registered in Mexico under the laws of the United Mexican States with registration at SAT.
Likewise, considering that the application will be used within the territory comprising the United Mexican States, the Application Users irrevocably agree to submit to the federal laws of Mexico and agree to submit to the jurisdiction based in Mexico City, waiving any other jurisdiction that might correspond to them by reason of their domicile, location, and/or any other.
At the moment you, as a User of the Application, use it, you legally agree to be bound by these Terms and Conditions, since without accepting them, you under no circumstances should or can use the YaztaMX and YaztaPro Applications. In the event that you do not accept the Terms and Conditions or fail to comply with them and/or the Community Guidelines, VAST may deny you immediate or subsequent use of the application or part of the application and services.
The Terms and Conditions for the use of the YaztaMX and YaztaPro Applications may be modified at any time and in any way by VAST, so the relationship between you and VAST will be governed by the terms and conditions that are in force at the time of each use you make of the YaztaMX and YaztaPro Applications. The modifications made to the Terms and Conditions will be notified by their publication on the website www.yaztamx.com, in the Application itself, and/or by email.
In the event that a specific service, specific product, or promotion has special terms and conditions, these will be notified to you so that you can accept them or refuse them, resulting in the inability to access those services, products, or promotions that contain specific terms and conditions.
The mere use of the YaztaMX and YaztaPro Applications constitutes your consent and agreement to be subject to the Terms and Conditions set forth herein and those that are notified and published from time to time by VAST for the use of the YaztaMX and YaztaPro Applications.
In the event that with respect to the services that you may access through the use of the application, you have any dissatisfaction, in accordance with the specific procedure and through the analysis of each case, VAST may disclose information about the service providers that may be used to resolve the dispute.
Furthermore, all your data, which, as a User of the Application, is collected through the application, will be handled and used in accordance with our Privacy Policy available on the site www.yaztamx.com and in the YaztaMX and YaztaPro applications.
2. Services through the YaztaMX and YaztaPro Applications
The services that you, as a User of the YaztaMX Application, receive through it consist of you having access to a technological platform that allows you to meet your cleaning, caregiving, and all kinds of household work needs by allowing you access to people who provide such services and use the YaztaPro Application to offer them to the Application Users. Therefore, you acknowledge that, in addition to providing you with access to the YaztaMX and YaztaPro Applications, VAST does not provide any other type of service to you, so the services you may contract using the YaztaMX and YaztaPro platform are in no case services provided directly or indirectly by VAST.
Likewise, you, as a User of the Application, acknowledge and accept that the service providers offering services and products in the YaztaMX and YaztaPro Applications are completely independent workers of VAST, so the service they provide will be specifically governed by the agreement between you and each of the service providers you hire using the YaztaMX and YaztaPro Applications, so you acknowledge that VAST has no and will have no responsibility for the services provided to you, thus waiving your right to take any legal action against VAST, its affiliates, partners, shareholders, and/or employees for any dispute or breach that you believe you suffered from the independent workers who offer their services using the YaztaMX and YaztaPro Applications.
For the use of the YaztaMX and YaztaPro Applications, VAST grants you a temporary, revocable, and limited license to use the Applications named YaztaMX and YaztaPro solely to enable you to access their use and, through them, to contract, under your own consent and responsibility, the service providers and independent workers who offer their services and products through them. Thus, this license, in no case grants you any intellectual property rights, nor the use of any of VAST's trademarks and/or those associated with the YaztaMX and YaztaPro Applications. Likewise, under no circumstances does it grant you the right to sublicense or authorize others to use it, nor to make alterations to it and/or to use and/or dispose of its programming codes, so misuse and non-compliance with these terms and conditions may lead to legal consequences of a civil and criminal nature.
3. Third-Party Advertising and Content
You acknowledge that VAST may promote and/or advertise various products and services of third parties within the YaztaMX and YaztaPro Applications, in accordance with the terms and conditions specifically agreed upon between VAST and said third parties, so you will not have any rights with respect to that promotional or advertising content of third parties. Likewise, you may not in any way use the trademarks and content of third parties found within the Application.
4. Use of Services.
To use the YaztaMX and YaztaPro Applications, once you have accepted these terms and conditions, you must create a user account, according to the form provided by the YaztaMX and YaztaPro Applications, and undertake to enter only true data, so entering false data or data of other persons into the YaztaMX and YaztaPro Applications will result in the denial of the services of the YaztaMX and YaztaPro Applications, regardless of any sanction that may be applicable under the applicable legislation. The users of the YaztaMX and YaztaPro applications, once they have accepted these terms and conditions, declare their agreement to share data and documents that may contain personal information through these applications, for the purpose of verifying their identity through the platform. During the identity verification process, VAST undertakes to store personal information and treat it in compliance with the laws of the Mexican Republic, without sharing the data and documents with individuals or legal entities outside of VAST. VAST undertakes to use personal data exclusively to verify the identity of users, which fosters trust in the service for all. This creates a safer and more reliable environment, thus increasing the opportunities to receive job offers within the YaztaPro application from other users.
User Accounts
As a user of the Application, you agree, among other things, to provide truthful information, such as your name, address, mobile phone number, and/or email. If you are under the age of majority, you may not use the YaztaMX and YaztaPro Applications.
You agree to keep your account information updated. Failure to maintain accurate, complete, and up-to-date account information and profile may result in your inability to access and use the services, or in termination by YaztaMX or YaztaPro of the agreed-upon terms with you. You are responsible for all activity that occurs on your account and agree to keep your username and password secure and confidential. Unless YaztaMX and YaztaPro allow otherwise in writing, you will be allowed to have only one account.
5. User Data and Information
You, as a user of the YaztaMX and YaztaPro Applications, may provide various information through them, which, among others, may be used to rate your experience, so you agree that any information that you share with VAST regarding the use of the YaztaMX and YaztaPro Applications may be used, by way of example but not limited to, to make improvements to the YaztaMX and YaztaPro Applications, to ensure compliance with the services offered, and to share your experiences with other users of the Application.
6. Network Services and Device Compatibility
You, as a User of the Application, acknowledge that for the YaztaMX and YaztaPro Applications to function, there must be connectivity with internet services, as well as the devices on which the YaztaMX and YaztaPro Applications are installed must be compatible with the YaztaMX and YaztaPro Applications, so you as a user acknowledge that access to networks is your responsibility, so VAST is not, and will not be responsible for any malfunction or non-functioning of the YaztaMX and YaztaPro Applications due to network failures or device incompatibility.
7. Payment Mechanism and Commission
VAST does not charge users a commission for using the YaztaMX and YaztaPro Applications.
As a user of the YaztaMX and YaztaPro applications, you accept and acknowledge that the YaztaMX and YaztaPro applications do NOT function as platforms for managing payments between users that arise as a result of services agreed upon between these users. The YaztaMX and YaztaPro Applications will NOT be responsible for collecting the corresponding payment for the services provided, nor will they make the corresponding payments.
Users of YaztaPro will receive the agreed-upon payment for their work directly from the client/user of YaztaMX. Payment can be made in cash or electronically, as agreed upon between users of YaztaPro and YaztaMX.
It is important to note that the only valid amount is the one agreed upon through the YaztaMX and YaztaPro Applications.
You, as a User of the Application, acknowledge that VAST does not guarantee in any way and the company will not be responsible for solving problems or mediating conflicts between users related to service amounts, payments, or collection between users.
Any claim related to the agreed-upon amount or the payment method between users of the YaztaMX and YaztaPro applications must be discussed directly between the said users applying the laws of the Mexican Republic.
8. Warranty
Since VAST does not provide any service directly or indirectly, beyond the use of the YaztaMX and YaztaPro Applications, you, as a User of the Application, acknowledge that the services you contract from an independent worker or service provider will not be guaranteed in any way by VAST, and the company will not be responsible in any case for the services you contract and/or that have any deficiency and/or that may cause or have caused damage to the User of the Application and/or their property.
The services are provided "as is" and "as available," so VAST waives all express, implied, or statutory representations and warranties not expressly set forth in these Terms and Conditions, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Likewise, VAST makes no representation or warranty regarding the reliability, timeliness, quality, suitability, or availability of the services or any of the services or goods requested through the use of the YaztaMX and YaztaPro Applications.
9. Support
VAST provides support to all users of the YaztaMX and YaztaPro Applications during business days according to the calendar of the United Mexican States during working hours established by the Federal Labor Law, in case you need it. To receive support, you can go to the "Support Center" section, located in the User Profile in both applications. It is important to mention that YaztaMX and YaztaPro have Community Guidelines that all users of the application must adhere to.
10. Limitation of Liability
VAST, its subsidiaries, affiliates, and parent company, will not be liable for any damage caused to the User of the Application and/or to the property owned by the user or in their possession, by independent workers or service providers hired or used in the YaztaMX and YaztaPro Applications, as the services provided by them and their conditions are specifically agreed upon by the service providers and/or independent workers and the Users of the Application, so VAST is completely unrelated to these terms and conditions, as well as to the manner, term, and quality with which the services are provided.
11. Indemnity
The User of the Application acknowledges and agrees that since, under their responsibility, they hire the services of independent workers or service providers in the YaztaMX and YaztaPro Applications, they undertake to hold VAST, as well as its partners, shareholders, employees, affiliates, and subsidiaries harmless in any dispute proceeding between the User of the Application and the service providers and/or independent workers who, using the YaztaMX and YaztaPro Applications, they have hired.
12. Applicable Laws and Dispute Resolution
In the case of services that are carried out or executed within the territory of the United Mexican States, the User of the Application agrees to submit to the federal laws of Mexico and to the jurisdiction of the federal courts of Mexico, based in Mexico City.
